These Purchase Conditions govern the acquisition of items through the website https://www.clima.es (hereinafter the "Website") which sells and advertises products of Clima.

Access to the Website grants you the status of "User," understood as anyone who uses the Website for the purpose of obtaining information about the items offered, to register, or to place an order (hereinafter, an "Order").

If you have any questions related to the Purchase Conditions, the Privacy Policy and Cookies or the Legal Notice, you can contact us through our usual contact channels, and if you do not agree with them, we ask that you leave the Website and do not place any Order. If you place an Order on behalf of a company, you should know that it will be bound by the same.

The use of the Website or making a purchase through it implies full acceptance of these Purchase Conditions, which may be modified by Clima at any time, so that the conditions applicable at any given time will be those published on the Website.

2. USE OF THE WEBSITE.

2.1 Access to the Website

The Website is freely and openly accessible, and generally does not require prior subscription or registration on the Website; however, to place an order, you may be required to register beforehand.

In your use of the Website, you agree to use it, its contents, and its services in accordance with the Legal Notice, applicable law, public order, and good customs, and not to use it in a way intended to damage, disable, and/or overload the Website, or that may in any way prevent the normal use and operation of the Website.

At Clima, we make a continuous effort to keep the Website functioning properly, maintaining the contents updated. However, at Clima, we cannot guarantee the complete availability and continuity of access to the Website, or the updating of its contents.

2.2 Registration

As mentioned, to place an Order, we may ask you to provide certain registration data or other information. By continuing with the registration, you agree to:

• provide true, accurate, current, and complete information in the registration form; and
• maintain and promptly update this information so that it remains true, accurate, current, and complete.

If we have reasonable grounds to suspect that such information does not meet the above criteria, we reserve the right to suspend or cancel your account, to cancel an Order, and even to deny you current or future use of the Website. The processing of personal data you provide through the registration form will be governed by our Privacy Policy and Cookies.

2.3 Limitations on Use of the Website

By using the Website, you agree not to:

• Perform actions likely to alter, damage, interrupt, or harm our electronic systems or those of third parties; as well as not to obstruct other users' access to the Website and its services by massively consuming the computing resources through which we provide our services.

• Violate our intellectual or industrial property rights or the rights of third parties.

• Use any robot, spider, or other device, process, or automatic means for any purpose, including monitoring or copying any material from the Website.
• Bypass any measure we may take to prevent or restrict access to certain areas of the Website.
• Attempt in any other way to interfere with the proper functioning of the Website.

Additionally, when placing an Order through it, you agree to:

• Use the Website only to place Orders that are legally valid.
• Not place any false or fraudulent Order. If for any reason we consider that such an order has been made, we are authorized to cancel it and inform the relevant authorities.
• Provide us with truthful and accurate contact and billing information, as otherwise, we will not be able to process your order.
• When placing an Order through the Website, confirm that you are of legal age and have the legal capacity to enter into contracts, especially regarding purchases made through the Website.

3. ORDERS

You may place Orders through the Website, for which you must accept these Purchase Conditions and the Privacy Policy and Cookies.

3.1 Placing an Order

To place an Order, you must follow the online purchase procedure and confirm your Order to complete it. After this, you will receive an email confirming that we have correctly received the Order along with all the corresponding information.

If you do not receive the Order confirmation, check that the payment has been correctly made in your bank account. If the payment is confirmed, check your spam or junk mail folder. It should be there. In any other case, do not hesitate to contact us using any of the contact methods indicated in the Customer Service section.

All personal data or information you provide us to place an Order will be processed as established in the Privacy Policy and Cookies.

3.2 Modify an Order

If you detect that there is an error in any of the data you have entered when placing the order, you can contact us using any of the contact methods indicated in the Customer Service section and we will do our best to correct it.

3.3 Product Availability

All Orders are subject to product availability, so if we are unable to supply you with an item due to any difficulty regarding product supply or stock, we will proceed to refund any amount you have paid.

4. PRICE

4.1 Amounts

The prices applicable to the products are those indicated at any given time on the Website on the date the Order is placed, and exclude shipping costs which will be added to the final order price.

The final price shows the full price, including taxes such as VAT (Value Added Tax) or any other indirect tax that applies, as required by consumer protection regulations.

Any additional costs charged to the customer, such as shipping costs, will be clearly itemized before confirming the order.

In cases where, due to the nature of the product, costs cannot be precisely itemized, the essential characteristics of the products will be detailed so that the customer can make a purchase decision with all the necessary information.

4.2 Payment

Once you have selected all the items you wish to purchase, they will have been added to your cart and the next step will be to process the order and make the payment. To do this, you must follow the steps of the purchase process, filling in or verifying the information requested at each step; you will also be informed of the accepted payment methods. In any case, the choice of payment method is made during the purchase process on the corresponding screen at no additional cost.

If there is any unauthorized or fraudulent charge on the card used for purchases, we ask that you notify us as soon as possible through the usual contact methods so that we can take appropriate action.

4.3 Payment Methods

To place an Order you must provide a payment method. The Website may redirect to third-party platforms for you to complete the payment of the Order using any of the payment methods you have selected.

The payment methods accepted on https://www.clima.es are: Credit card, Paypal, Bizum, Debit card. Payment method providers or issuers may adopt anti-fraud measures that result in the rejection of certain types of transactions over which we have no control, so Clima is not responsible for the application of such security policies.

You can modify your payment methods through your account or by contacting us using any of the contact methods indicated in the Customer Service section. After each update, if it is a recurring purchase, you authorize us to continue charging you through the relevant payment method.

4.4 Invoices

When making your purchase, you can indicate if you wish to receive the invoice in electronic format. If at any time you prefer to receive it on paper, just notify us through any of our customer service channels and we will send it to you at no additional cost.

5. SHIPPING

5.1 Shipping Methods

During the purchase process, we will confirm whether we can ship to the delivery address you provide, and if applicable, the available methods and fees, if any.

To formalize the order, it is necessary to accept the pre-established shipping method; on our part, we will send it without undue delay and according to the following timeframes. Some shipping methods may have additional charges, as specified below:

5.2 Deliveries

For the purposes of these Purchase Conditions, delivery or that the order has been delivered will be understood to have occurred at the moment you or a third party authorized by you acquires physical possession of the products, which will be evidenced by the signature of receipt of the order at the agreed delivery address.

If delivery is not possible due to the recipient's absence, the shipping agency will contact you by the usual means to inform you of the next steps to enable delivery.

6. RETURNS AND WITHDRAWAL.

6.1 Returns

Changed your mind? No problem. In accordance with European Union consumer protection legislation, you have the right to withdraw from all or part of your Order for any reason within 14 calendar days from the date of receipt.

To initiate the return process, follow the instructions we provide on the Website or contact us through the usual channels we make available to you and that we explain in the Customer Service section of these Purchase Conditions. You may use the withdrawal form template provided at the end of these Purchase Conditions in ANNEX 1 to exercise the right of withdrawal, although it is not mandatory.

6.2 Refunds

When making a return, we will refund you the value of the Order and the shipping costs, but you must take into account that depending on the place of shipment, return shipping costs may apply. Additionally, if you want to keep part of the Order, we will not refund the shipping costs.

The refund will be made using the same payment method you used to place the Order. Our goal is to process the refund as soon as possible and, at the latest, within 14 days from when we receive the returned items. If you have not received the refund within this period, please contact us and we will assist you.

When making a return, we will refund the full amount of any item in an Order provided that it has not been damaged, soiled, washed, altered, or used in any way that has reduced the item's value. Please return the item using and including all its original packaging, instructions, and other accompanying documents, if applicable.

6.3 Exceptions

The right of withdrawal does not apply to products that:

• By their nature may deteriorate or expire quickly;
• Are sealed and cannot be returned for health protection or hygiene reasons if the seal has been removed; and
• Are personalized.

6.4 Returns of defective items

Is there a problem with one of the items in the Order? According to the applicable European Union consumer protection legislation, all products must be free of defects, meaning they must conform to the sales contract, be suitable for the intended use, and function like any other product of the same type.

Depending on the product and the defect the item has, we offer you the option to repair it or replace it with a new one. If this is impossible or would incur disproportionate costs, we will offer you a price reduction or a refund, as you prefer.

For 3 years following the date of receipt of the Order, you may return items if they have a manufacturing defect, but not in cases where the defect results from misuse of the product, improper or inadequate use, or damage caused by impacts.

To proceed with a return of a defective product, please contact us through the channels we provide.

Additionally, we offer an additional commercial warranty of 5 years on the Super Strong umbrella product (Ref. 2892). This commercial warranty covers manufacturing and material defects, under normal use conditions, for free repair or replacement (including shipping costs). To request the application of this warranty, the customer must follow the same request procedure mentioned above, specifically indicating that it is the Super Strong model. Damages caused by misuse, negligence, or accidents are excluded from this warranty.

We ask that whenever possible, you check the Orders at the time of receipt so that in case of any issue you can contact us as soon as possible and we can provide a solution.

8.1 About the information.

The content of the Website is general in nature and is for informational purposes only, without guaranteeing its exhaustiveness, accuracy, timeliness, or usefulness for a specific purpose.

We do our best to accurately display and describe the attributes of our products on the Website; however, the color or measurements are only approximate values, so we do not guarantee the actual measurements or colors of the item you receive as they may vary depending on the material used in its manufacture.

If you are not satisfied with the item you ordered, there is no problem, you can return it.

8.2 About third-party linked content and services.

We offer you links to third-party websites, platforms, and content to provide and manage Orders, and it is your responsibility to read and accept the terms and conditions and privacy policies published on those linked websites or applications.

Under no circumstances does the existence of linked sites, integrations, the presence of plugins, or search mechanisms imply the recommendation or promotion of the linked sites or their content by Clima. Therefore, we are not responsible for the content, statements, or services provided by third-party websites.

In any case, we will proceed to the immediate removal of any link when the content to which it redirects may contravene national or international law, morality, or public order. Therefore, if you consider that there is a linked website with illegal or inappropriate content, we ask you to inform us so that we can take the measures we deem appropriate.

8.3 About the availability of the website.

We have adopted, and will continue to adopt, all necessary measures within our capabilities and the state of technology to ensure the proper functioning of the Website and to prevent the existence of harmful components. However, we will not be liable for any damages that may be caused to you or third parties due to the inability to access the Website, as well as the presence of viruses, worms, or other harmful elements.

9. REVIEWS AND RATINGS

Clima allows Users who have placed an Order to share their experience through reviews, ratings, and comments (hereinafter, the “Reviews”). These Reviews aim to help other Users make informed decisions.

By submitting a Review, the User expressly agrees to these Terms of Purchase, the Legal Notice and the Privacy Policy and Cookies, and declares that:

• They are of legal age.
• They are the original author of the content or have the necessary authorizations for its publication.
• The Review reflects a real personal experience, either their own or of people in their environment for whom they have authorization to share such experience.
• They have not received any payment, gift, incentive, or compensation for posting the Review, except in the case of sponsored reviews or those arising from official commercial agreements with Clima, which will be clearly identified as incentivized content or promotional collaborations.
• The content does not infringe third-party rights (including copyright, image rights, data protection, trade secrets, or honor rights).
• It does not include personal data (such as full names, addresses, emails, phone numbers, Order numbers, or similar identifiers) of themselves or third parties.
• They refrain from including images or references to minors.
• They waive all moral rights that may arise from the publication of the content.
• They agree that, when the system requires it, they may be asked for a pseudonym, which may be visible alongside the Review.

9.1 Moderation and Publication

Reviews may be reviewed by Clima, both through the implementation of automated systems and by manual methods, before or after their publication. Likewise, Clima reserves the right to delete or reject them, in whole or in part and without prior notice, if:

• They are false, misleading, inaccurate, or not based on a real experience.
• They contain offensive, defamatory, threatening, discriminatory, sexist, racist language or incite hatred or violence.
• They include advertising, spam, links, prices, external comparisons, or other commercial purposes.
• They contain viruses or potentially harmful technical elements.
• They refer to topics unrelated to the evaluated Order, such as payment issues, returns, or other incidents (for these, the enabled contact channels must be used).
• They contain personal data of any kind or sensitive data according to Article 9 of Regulation (EU) 2016/679 (such as health, beliefs, sexual orientation, etc.).
• They constitute attacks on other Users or other Reviews.

Although Clima may correct spelling or formatting errors that do not alter the content, as well as remove personal data included by mistake, both positive and negative Reviews that meet these requirements and under the same moderation criteria will be published. Likewise, each User may publish only one Review per Order placed.

9.2 Verification and Publication of Reviews

When Clima can verify that the Review corresponds to an actually placed Order, through the Order number, the email linked to the account, or another technical validation mechanism, such Review may be displayed as “verified” and the User will be informed of the verification method applied.

Reviews may come from Users who have contracted an Order directly on Clima as well as from third-party websites, in which case their origin may be indicated.

Once published, Clima will inform Users about the criteria used to determine their order of appearance, which will be based on objective parameters such as the publication date, relevance, or usefulness. Under no circumstances will the original content or rating be modified.

9.3 Rights of Use over Reviews

The User grants Clima, free of charge, non-exclusive, and without territorial or temporal limitation, a license to use, reproduce, adapt, translate, publicly communicate, or distribute the Review, in any medium or format, including websites, social networks, commercial communications, points of sale, and, in particular, also for advertising or promotional purposes.

This license does not grant the right to remuneration and will remain in effect as long as the content remains useful for the described purposes.

9.4 Withdrawal, Modification, and Revocation

The User may request at any time the withdrawal, anonymization, or modification of their Review by contacting clima@clima.es. They may also revoke the consent granted for its use, without prejudice to the processing already carried out in accordance with the law.

9.5 Liability

The User will be solely responsible for the content of their Review and any legal consequences arising from it. Reviews reflect the personal opinions of their authors and therefore do not constitute statements or guarantees by Clima, which disclaims all responsibility regarding their truthfulness, accuracy, or usefulness.

10. MISCELLANEOUS PROVISIONS

10.1 Force Majeure

The fulfillment by MANUFACTURAS CLIMA SAU of all or part of its obligations will be suspended in the event of a fortuitous event or force majeure that prevents or delays compliance. Such events shall include, without limitation: war, riots, insurrection, social disturbances, strikes of any nature, and supply problems not attributable to it.

If a fortuitous event or force majeure occurs, we will inform you within 10 days of its occurrence. In the event that such suspension extends beyond a period of 30 days, you will have the option to terminate the current Order, and a refund will then be processed under the conditions set forth in these Terms of Purchase.

10.2 Independence and Integrity of Clauses

The illegality, invalidity, or ineffectiveness of any of the clauses that make up these Terms of Purchase shall not affect the effectiveness of the rest, provided that the rights and obligations are not essentially affected. Such clauses shall be replaced or supplemented with others that, being in accordance with the law, fulfill the purpose of the replaced clauses.

10.3 Modification of the Purchase Conditions

These Purchase Conditions were last updated on 26/02/2026. We may review and update these Purchase Conditions at any time and will notify you by the usual means, but whenever they affect material elements, they will not take effect until 14 days after being published.

10.4 Applicable Law and Jurisdiction.

Access to and use of https://www.clima.es shall be governed by the provisions of Spanish law. Any dispute or controversy shall be resolved by the courts and tribunals of El Prat de Llobregat with express waiver of any other jurisdiction that may correspond to you, except in the case that you are considered a consumer, in which case the courts and tribunals of your domicile shall have jurisdiction.
